By accessing the Website, submitting an application, signing an agreement, or otherwise engaging with BNQ Financial's Services, you ("you," "your," or "Client") agree to be bound by these Terms, our Privacy Policy, and any other agreements or disclosures applicable to your specific transaction or engagement.   1. About BNQ Financial

BNQ Financial is a mortgage brokerage and private lender operating in the Province of Ontario, Canada. BNQ Financial is registered and regulated by the Financial Services Regulatory Authority of Ontario (FSRA) under the Mortgage Brokerages, Lenders and Administrators Act, 2006. BNQ Financial arranges and funds residential and commercial mortgage financing, private loans, construction financing, bridge loans, and related financial solutions.

Nothing in these Terms should be construed as creating an employment, partnership, joint venture, or agency relationship between BNQ Financial and any user, broker, or third party, except as expressly set out in a separate written agreement.

  1. Eligibility

You must be at least 18 years of age and a legal resident of Canada to use our Services or submit an application. By using the Website or Services, you represent and warrant that you meet these eligibility requirements and that all information you provide to us is true, accurate, current, and complete.

  1. Services Provided

BNQ Financial offers the following services, subject to eligibility, underwriting, and regulatory requirements:

Residential mortgage financing, including purchase mortgages, refinancing, renewals, and home equity loans. Commercial mortgage financing for multifamily, mixed-use, retail, industrial, land, and construction projects. Private lending solutions, including bridge loans, stabilization loans, and short-term financing. Mortgage brokerage services connecting borrowers with appropriate lenders. Financial planning advice and guidance related to property acquisition and real estate investment. Broker partner onboarding, rate sheets, and deal submission services.

The availability of any specific product or service is subject to change without notice and is not guaranteed. Approval of any application is at BNQ Financial's sole discretion and is subject to underwriting criteria, property assessment, and compliance requirements.

  1. No Guarantee of Approval

Use of the Website, submission of an application, or receipt of any pre-qualification, pre-approval estimate, or rate quote does not constitute a commitment to lend or a guarantee of mortgage approval. All applications are subject to full underwriting review, satisfactory credit assessment, appraisal, title review, and applicable regulatory and compliance checks. BNQ Financial reserves the right to decline any application at its discretion without providing reasons, to the extent permitted by law.

  1. Accuracy of Information

You agree to provide complete, accurate, and truthful information in all applications, forms, and communications submitted to BNQ Financial. Providing false, misleading, or incomplete information in connection with a mortgage application is a serious offence under applicable law, including but not limited to the Criminal Code of Canada, and may result in immediate termination of your application, reporting to regulatory or law enforcement authorities, and civil or criminal liability.

BNQ Financial relies on the accuracy of the information you provide and that of third parties, including employers, credit bureaus, and appraisers. We are not liable for errors or omissions in third-party information.

  1. Fees and Costs

Any applicable fees, broker fees, lender fees, commitment fees, appraisal fees, legal fees, or other costs associated with your mortgage transaction will be disclosed to you in your commitment letter, cost of borrowing disclosure, or other applicable agreement prior to finalization. You acknowledge that third-party costs, such as legal fees, title insurance, appraisal fees, and land transfer taxes, are not controlled by BNQ Financial and are your responsibility.

  1. Mortgage Brokerage Disclosure

BNQ Financial acts as a mortgage broker and, where applicable, as a private lender. In its capacity as a broker, BNQ Financial may earn fees or compensation from lenders in connection with arranging financing on your behalf. Full disclosure of any such compensation will be provided in accordance with FSRA requirements and applicable disclosure obligations.

Where BNQ Financial acts as a lender directly, this relationship will be clearly disclosed in your loan documents and applicable agreements.

  1. Use of the Website

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You must not:

Use the Website in any way that violates applicable federal, provincial, or local laws or regulations. Submit false, misleading, or fraudulent information through any form or application. Attempt to gain unauthorized access to any part of the Website or any system or network connected to it. Use automated tools, bots, or scripts to scrape, crawl, or extract content from the Website. BNQ Financial's total aggregate liability to you in connection with any claim arising out of or relating to the use of our Website or Services shall not exceed the total fees paid by you to BNQ Financial in the twelve (12) months preceding the event giving rise to the claim, or one hundred Canadian dollars ($100 CAD), whichever is greater.

  1. Anti-Money Laundering and Know Your Client

BNQ Financial is subject to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and the regulations thereunder. We are required to verify the identity of clients, report certain transactions, and maintain records in compliance with FINTRAC requirements. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
